NewCom Romtelecom deal under antitrust review



The Competition Council opened an investigation into the acquisition of electronic communication networks of S.C NewCom Telecomunicatii S.A by S.C. NextGen Communications S.R.L, to determine whether or not it has violated any antitrust laws.
The antitrust regulator is examining the economic concentration operation and whether the competitive effects of the deal comply with the antitrust regulation.The conclusions of the inquiry are due to be made public, under the provisions of the legislation in force, within 30 days since the notification is deemed effective.

NextGen Communications S.R.L is directly owned by Romtelecom group, hence a member of Deutsche Telekom.

Deutsche Telekom runs operations in the Romanian fixed-line and mobile telecom market, through OTE Group (SC Cosmote Romanian Mobile Telecommunications S.A, SC Romtelecom SA, SC Telemobil SA) and SC Combridge S.R.L.

Deutsche Telekom also provides distribution services of terminal equipment and communication services as well as accessories and other digital technology products through SC Germanos Telecom Romania S.A and SC Sunlight Romania Bucharest Branch SRL.

S.C NewCom Telecomunicatii SA is held by Valserial Ltd, a Cyprus-based financial investment company, and provides fixed-line networks and electronic communication services in the Romanian market.

Under the provisions of antitrust law (no21/1996), all transactions that exceed the values set forth by the law are subject to regulatory approval and must be notified to Competition Council, for the review of their compliance with a normal competition framework.

These are compliant if the combined turnover of the parties involved in the transaction exceeds €10,000,000 or the equivalent in lei, and whether there are at least two parties involved in the transaction operating in Romania with an individual turnover higher than €4,000,000 or the equivalent in lei.
